These Terms and Conditions (“Terms”) govern your access to and use of the Sigrix marketplace, including any AI prompts, assistants, and agents offered through the platform (collectively, “Products”). By accessing or using Sigrix, you agree to these Terms.

Acceptance of Terms
By using the Marketplace, you confirm that you have read, understood, and agree to comply with these Terms and any additional policies referenced within them.

About Sigrix
Sigrix is a curated marketplace that connects buyers with independent creators of AI Products. We facilitate discovery, purchasing, and delivery, but we do not create Products unless explicitly stated.

Eligibility
You must be at least 18 years old and able to form a binding contract to use the Marketplace.

Account Responsibilities
- Provide accurate and current account information.
- Keep login credentials secure and confidential.
- Notify us promptly of unauthorized account access.

Marketplace Role
- Sigrix acts solely as a platform for third-party Products.
- We do not provide legal, technical, or professional advice.
- We are not an employer, recruiter, or staffing intermediary.

Product Listings and Review
- Creators are responsible for Product descriptions, functionality, and licensing terms.
- We may review or remove Products that violate Marketplace standards.
- Approval for listing is not a warranty of performance or fitness for a purpose.

Pricing and Payments
- All prices are listed in USD unless otherwise noted.
- Payment processing fees and currency conversion are handled by your provider.
- Prices at checkout are the prices charged for confirmed purchases.

Stripe Connect / Creator Payments
- This section applies to creators and sellers using Sigrix to receive payouts for Product sales.
- Creator payouts are provided through Stripe Connect.
- To receive payouts, creators must accept Stripe's Connected Account Agreement and any related Stripe onboarding requirements.
- By using Sigrix as a creator, you authorize Sigrix to share your personal and business information with Stripe for onboarding, KYC and identity verification, compliance, payment processing, and payouts.
- Stripe Connect legal terms are available at https://stripe.com/legal/connect-account.
- Sigrix may pause or delay creator payouts if Stripe requests additional information or verification.

Refunds
- Refunds are available only when a Product does not function as described.
- Requests must be submitted within 24 hours of purchase with supporting evidence.
- Approved refunds are processed within 5–10 business days.

License to Use Products
- You receive a non-exclusive, non-transferable license to use purchased Products.
- You may not resell, redistribute, sublicense, or claim Products as your own.
- Misuse may result in termination of access or account suspension.

Prohibited Conduct
- No illegal, harmful, or malicious use of the Marketplace or Products.
- No scraping, automated extraction, or unauthorized data collection.
- No manipulation of reviews, rankings, or Marketplace metrics.

User Content
- You are responsible for any reviews, comments, or feedback you submit.
- You must have the rights to the content you share.
- We may remove content that violates these Terms or applicable law.

Intellectual Property
- Creators retain ownership of their Products.
- Sigrix retains ownership of the Marketplace platform, branding, and design.
- Unauthorized use of trademarks or copyrighted materials is prohibited.

Disclaimers
- The Marketplace and Products are provided “as is” and “as available.”
- We disclaim all implied warranties, including merchantability and fitness for a purpose.
- We do not guarantee uninterrupted or error-free access.

Limitation of Liability
- We are not liable for indirect, incidental, or consequential damages.
- Our liability is limited to the amount paid for the Product at issue.
- Some jurisdictions do not allow certain limitations, so these may not apply to you.

Changes and Governing Law
- We may update these Terms at any time by posting revised versions on the Marketplace.
- Continued use of Sigrix constitutes acceptance of the updated Terms.
- These Terms are governed by the laws of the jurisdiction where Sigrix is registered.
EU / GDPR / CONSUMER LAW ALIGNMENTS
EU Consumer Rights Notice (Digital Content)
In accordance with Directive (EU) 2019/770 on digital content and digital services:
- The Products sold on this marketplace are digital content not supplied on a tangible medium.
- By completing a purchase, you expressly consent to immediate delivery of the digital Product.
- You acknowledge that this consent results in the loss of the 14-day right of withdrawal, except where the Product is defective or does not function as described.
This does not affect your statutory rights under applicable EU consumer protection laws.
Conformity of Digital Content
We are responsible for ensuring that digital content made available through the marketplace is delivered as described at the time of purchase.
If a Product does not conform to its description:
- You may request a refund in accordance with our Refund Policy
- Refund eligibility is limited to functional non-conformity, not subjective expectations or preferences
Transparency as a Marketplace Intermediary
In compliance with EU Platform-to-Business (P2B) Regulation:
- We act solely as a technical intermediary
- Product descriptions, functionality claims, and licensing terms are provided by creators
- Rankings and visibility may be influenced by factors such as relevance, sales volume, reviews, and compliance status
Limitation Consistent with EU Law
Nothing in these Terms limits or excludes liability where such limitation is prohibited under EU law, including liability for:
- Intentional misconduct or gross negligence
- Consumer statutory rights
- Mandatory consumer protections
